All limited companies, whether trading or not, must file annual accounts and a confirmation statement with Companies House each year. This includes dormant companies.
What is a Dormant Company?
A company is considered dormant if:
It is not trading, and
It has no significant accounting transactions, such as income, expenses, or investments.
You can use the AA02 form for dormant accounts only if the company:
Is limited by shares, and
Has never traded, and
Has only issued subscriber shares (i.e., initial shares issued when the company was formed).
Important Information
Before generating the AA02 Dormant Company Accounts form, ensure the following conditions are met:
Update General Details
Go to the General Details screen.
Set the Company Status to Dormant.
Check the Members Screen
Navigate to the Members tab.
Ensure all share transactions are Subscriptions only.
How to Prepare the AA02 Form in CAS 360
| From the Main Toolbar, go to Company. | |
| Locate the company | |
| Go to the Company Info tab | |
| Click Add Company Info. | |
Select Annual Reports and Documents from the list |
The Financial Reports and Data screen will display
Fill in the required information:
Financial Year and Balance Sheet Date

Under Accounts, enter:
Cash at bank
Net assets (if any)

Under Issued Share Capital, confirm:
Number of shares
Share type
Set the Financial Year End Date and Director's Approval Date
Enable the Director’s Statement
Toggle the Director’s Statement to YES.
Toggle: The company has acted as an agent for a person only if applicable. This refers to whether the company has conducted activities on behalf of someone else, usually under a legal or contractual arrangement.
Click Save & Prepare Documents.
Document Production
You will be taken to the Document Production screen.
The AA02 form will now be available.
Note: This form cannot be filed electronically. You will need to submit your application directly through the Companies House website.
